PART A - GENERAL TERMS APPLYING TO ALL USERS

1. Acceptance of Terms

These Terms and Conditions (Terms) govern access to and use of the TicketsAlive website, mobile application, organiser dashboard, booking engine, ticketing tools, payment facilitation services, communications tools and related services (collectively, the Platform).

The Platform is operated by PA Theatre Entertainment Pty Ltd trading as TicketsAlive (TicketsAlive, we, us or our).

By accessing the Platform, creating an account, listing an event, purchasing a ticket, receiving a ticket, using a ticket or otherwise using the services, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

In these Terms, unless the context requires otherwise:

  • Customer means a person who browses events, purchases tickets, receives tickets, holds tickets, attends an event or otherwise uses the Platform as a ticket buyer or attendee.

  • Organiser means any event organiser, producer, promoter, host, presenter, venue operator, venue partner, affiliate, marketing partner or other party that lists, promotes, manages or sells tickets for an event through the Platform.

  • Event means any live, online, hybrid, cultural, entertainment, theatre, film, concert, festival, sporting, educational, community, private or other event listed on the Platform.

  • Ticket means any electronic ticket, physical ticket, QR code, barcode, booking confirmation, registration confirmation or other right of entry or access issued through the Platform.

  • Booking Fees means any service fee, convenience fee, payment processing fee, card surcharge, delivery fee, technology fee or other fee disclosed during checkout.

  • Ticket Price means the price payable for admission to an event, before or after applicable fees and taxes as displayed during checkout.

  • Net Ticket Proceeds means ticket sale revenue after deduction of applicable fees, taxes, refunds, chargebacks, payment processing costs, reserves and other amounts payable under these Terms or any separate agreement.

3. TicketsAlive is a Ticketing Technology Platform Only

TicketsAlive provides technology, ticketing, booking, payment facilitation, event listing, reporting and related platform services.

Unless expressly stated otherwise in writing for a specific event, TicketsAlive is not the organiser, promoter, producer, performer, artist manager, venue operator, event owner or supplier of the event.

TicketsAlive does not plan, produce, control, operate, supervise, manage or deliver events. Responsibility for the event rests with the Organiser.

The listing of an event or sale of tickets on the Platform does not constitute endorsement, sponsorship, approval, partnership or guarantee by TicketsAlive of the event, Organiser, venue, performers, event content or event quality.

4. Electronic Communications

By using the Platform, you consent to receive communications from TicketsAlive electronically. These communications may include agreements, notices, disclosures, receipts, booking confirmations, tickets, event updates, refund updates, account notices, security notices and service communications.

You agree that electronic communications satisfy any requirement that communications be provided in writing, unless applicable law requires another form of communication.

5. Eligibility and Account Use

You must be at least 18 years old to create an organiser account, list an event, participate in a partner program or enter into a commercial relationship with TicketsAlive.

Customers under 18 may use the Platform only with the consent and supervision of a parent or guardian, unless a higher age requirement applies to a specific event.

You must provide accurate, complete and current information when creating an account, purchasing tickets or listing an event.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account. You must notify TicketsAlive promptly if you suspect unauthorised access or misuse.

6. Platform Use and Restrictions

You may use the Platform only for lawful purposes and in accordance with these Terms.

You must not:

  • use the Platform for fraudulent, misleading, illegal or unauthorised purposes;

  • use bots, scraping tools, automated purchasing tools or other automated access methods without written permission;

  • interfere with Platform security, ticket inventory, payment systems or booking flows;

  • copy, modify, reverse engineer, distribute or commercially exploit the Platform or its content except as expressly permitted;

  • upload unlawful, misleading, defamatory, offensive, infringing, discriminatory, hateful or harmful content;

  • create false accounts, false events, fake transactions or artificial referrals;

  • misuse promotional codes, referral links, affiliate links or customer data;

  • attempt to circumvent ticket limits, fraud controls, access controls or payment controls.

7. Platform Availability and Changes

TicketsAlive will use reasonable commercial efforts to keep the Platform available and secure. However, TicketsAlive does not guarantee that the Platform will be uninterrupted, error-free or continuously available.

TicketsAlive may modify, pause, suspend, discontinue or replace any Platform feature, service or content at any time for operational, security, commercial, compliance or technical reasons.

The Platform may be unavailable due to maintenance, high demand, internet failure, cloud infrastructure issues, payment processor failure, telecommunications failure, cyber incidents or other circumstances outside TicketsAlive’s reasonable control.

8. Third-Party Services and Links

The Platform may use or link to third-party services, including payment gateways, card networks, banking providers, cloud providers, email and SMS providers, analytics providers, fraud prevention tools, map providers, social media platforms and third-party websites.

TicketsAlive does not control third-party services and is not responsible for third-party content, availability, security, acts, omissions, policies or terms.

Use of third-party services may be subject to separate third-party terms and privacy policies.

9. Intellectual Property

TicketsAlive owns or licenses the Platform, software, brand, website content, app content, designs, processes, reports, dashboards, logos, trade names and related intellectual property.

You must not copy, reproduce, publish, distribute, modify, adapt, decompile, scrape, reverse engineer, sell or commercially exploit TicketsAlive intellectual property without prior written permission.

Organisers retain ownership of event content they provide but grant TicketsAlive the rights set out in the Organiser Terms.

10. Changes to These Terms

TicketsAlive may update these Terms from time to time for legal, operational, technical or commercial reasons.

The latest version will be published on the Platform. Continued use of the Platform after updated Terms are published constitutes acceptance of the updated Terms, unless applicable law requires additional notice or consent.

PART B - CUSTOMER AND TICKET HOLDER TERMS

11. Customer Booking Relationship

When you purchase or receive a ticket through TicketsAlive, TicketsAlive facilitates the ticket transaction and provides ticketing technology services.

The event itself is organised, controlled and delivered by the relevant Organiser. Your right to attend the event is subject to these Terms, the Organiser’s terms, the venue’s conditions of entry and any event-specific terms displayed before purchase or communicated by the Organiser.

12. Checking Event Details Before Purchase

Before completing a booking, you are responsible for checking all relevant details, including:

  • event name, description and category;

  • event date, time, duration and session;

  • venue, city, address and entry location;

  • ticket quantity, price category and seating selection;

  • age restrictions, content warnings and accessibility information;

  • refund policy, exchange policy and event-specific conditions;

  • total price, including ticket price, fees, taxes and charges.

13. Ticket Prices, GST, Fees and Charges

Ticket prices are generally set or approved by the Organiser. Prices are displayed in the currency shown during checkout and may include GST or other applicable taxes where required.

Booking Fees, service fees, card surcharges, delivery fees or other charges may apply. Any applicable fee will be displayed before you complete payment.

TicketsAlive may revise fees or pricing display processes where required due to tax, currency, platform, processor, supplier or legal changes. Where practical, you will be shown the applicable price before your order is processed.

14. Payment and Booking Confirmation

A booking is confirmed only after payment has been successfully processed and TicketsAlive has issued a booking confirmation or ticket.

If payment is deducted but you do not receive a confirmation or ticket, you should contact TicketsAlive support with your transaction details so the matter can be investigated.

TicketsAlive may refuse, cancel, hold or review a transaction where fraud, unauthorised use, payment risk, ticket scalping, automated purchasing or Platform misuse is reasonably suspected.

15. Ticket Delivery

Tickets are usually issued electronically by email, app, account dashboard, QR code, barcode or another electronic method displayed at checkout.

There are generally no delivery charges for electronic tickets unless a different delivery method is selected or displayed during booking.

You are responsible for providing accurate email, mobile and account information. TicketsAlive is not responsible for non-delivery caused by incorrect contact details, spam filters, blocked messages, outdated account information or device issues outside TicketsAlive’s control.

16. Ticket Validity and Use

A ticket is valid only for the event, date, time, venue, seat, ticket category and admission type stated on the ticket or booking confirmation.

Tickets must not be copied, altered, forged, duplicated, resold unlawfully or used in breach of event-specific terms.

Where a ticket uses a QR code, barcode or digital identifier, the first valid scan may invalidate later copies. TicketsAlive is not responsible where entry is refused because a ticket has already been scanned, duplicated, altered or misused.

17. Entry to Events

Admission to an event is controlled by the Organiser and/or venue, not by TicketsAlive.

The Organiser or venue may impose lawful entry conditions, including requirements relating to age, identification, security checks, prohibited items, dress standards, intoxication, disruptive conduct, photography, recording, health and safety and venue capacity.

Right of admission is reserved by the Organiser and/or venue. TicketsAlive is not responsible for refusal of entry where the decision is made by the Organiser or venue in accordance with applicable law and event or venue conditions.

18. Venue Conduct and Prohibited Items

You must comply with all venue and Organiser directions. You may be refused entry or removed from a venue if you engage in misconduct, breach the law, disrupt the event, endanger others or breach venue conditions.

Unless permitted by the Organiser or venue, you must not bring prohibited items into the venue. These may include weapons, illegal drugs, alcohol, glass bottles, dangerous items, smoke or chemical devices, large banners, poles, construction materials, unauthorised merchandise for sale, laser or lighting devices, recording equipment or any item that could disrupt or delay the event.

19. Security Screening

By attending an event, you acknowledge that the Organiser, venue, security personnel or authorised agents may conduct lawful security screening of persons, clothing, bags and possessions before entry, during the event or on exit.

Refusal to comply with lawful and reasonable security screening may result in refusal of entry or removal from the venue.

20. Late Arrival, Seating and Special Pricing

If you arrive late, the Organiser or venue may delay your entry or seating until a suitable break in the event.

If you purchase a concession, student, member, child, senior, group or other specially priced ticket, you may be required to provide suitable identification or proof of eligibility. Failure to provide proof may result in refusal of entry or a requirement to pay the price difference.

21. Event Changes by Organisers

The Organiser may change event details, including performers, artists, program, team, date, time, venue, seating layout, door opening time, ticket price, capacity or other event details.

TicketsAlive does not control these decisions unless TicketsAlive is expressly identified as the Organiser of the relevant event.

Where TicketsAlive receives official notification of a material change, TicketsAlive may use reasonable efforts to notify affected Customers using the contact details linked to the booking.

22. Refunds, Exchanges and Cancellations

Refunds and exchanges are governed by applicable consumer law, the Organiser’s refund and cancellation policy and any event-specific terms displayed at checkout.

TicketsAlive does not independently decide an Organiser’s refund policy. TicketsAlive may process refunds only where authorised by the Organiser, required by law or otherwise required under these Terms.

Unless required by law or authorised by the Organiser, tickets, Booking Fees, service fees, delivery fees and payment processing fees may be non-refundable.

If an event is cancelled, postponed, rescheduled or materially changed, the Organiser is responsible for deciding and funding the applicable remedy, subject to applicable law. TicketsAlive may facilitate communication and process authorised refunds on behalf of the Organiser.

23. Change of Mind and Customer Circumstances

Unless required by law or permitted by the Organiser’s policy, refunds or exchanges are not available because you change your mind, can no longer attend, purchased the wrong ticket, selected the wrong event, selected the wrong seat, arrive late, attend the wrong venue, experience personal travel disruption or are dissatisfied with the event for reasons outside TicketsAlive’s control.

24. Refund Processing Times

If a refund is approved and processed, it will generally be returned to the original payment method where reasonably possible.

Refund timing may depend on banks, payment processors, card schemes and other financial institutions. TicketsAlive does not guarantee the time taken by a third-party financial institution to credit a refund after processing.

25. Personal Belongings and Event Experience

TicketsAlive is not responsible for theft, loss or damage to personal belongings at or around an event venue.

TicketsAlive does not guarantee the quality, suitability, safety, legality, occurrence, content, duration, venue experience, performer appearance, food, beverage, parking, merchandise or customer satisfaction associated with an event. Complaints about the event itself should be directed to the Organiser.

26. Customer Data and Event Communications

By purchasing a ticket or registering through the Platform, you acknowledge that relevant booking and attendee information may be shared with the Organiser to enable the Organiser to operate the event, manage entry, communicate event updates and provide customer support.

You may also receive transactional communications from TicketsAlive or the Organiser relating to your booking, ticket, event changes, cancellation, refund, venue entry or other event-related matters.

PART E - LEGAL PROTECTIONS AND GENERAL CLAUSES

54. Limitation of TicketsAlive Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot lawfully be excluded, restricted or modified.

Subject to the above and to the maximum extent permitted by law, TicketsAlive’s liability is limited to its role in providing ticketing technology, booking and Platform services.

TicketsAlive is not liable for loss, damage, injury, death, expense, inconvenience, disappointment, business loss, travel cost, accommodation cost, lost profit, reputational damage or indirect or consequential loss arising from or connected with:

  • the planning, production, management, quality, safety, legality, content or delivery of an event;

  • acts or omissions of an Organiser, venue, performer, contractor, supplier, security provider or other third party;

  • event cancellation, postponement, rescheduling, relocation or material change;

  • refusal of entry by the Organiser or venue;

  • loss, theft or damage to personal property at an event;

  • third-party service failures outside TicketsAlive’s reasonable control;

  • payment processor decisions, bank delays or card network processes outside TicketsAlive’s reasonable control.

Where TicketsAlive’s liability can lawfully be limited, it is limited to the resupply of the relevant Platform service or the amount of Booking Fees paid directly to TicketsAlive for the relevant transaction, whichever is permitted by applicable law.

55. Customer Indemnity

To the maximum extent permitted by law, the Customer indemnifies TicketsAlive against claims, losses, liabilities and reasonable costs arising from the Customer’s fraud, unlawful use of the Platform, unauthorised ticket resale, ticket misuse, breach of these Terms, infringement of third-party rights or misuse of TicketsAlive intellectual property.

This indemnity does not apply to the extent the relevant loss was directly caused by TicketsAlive’s fraud, wilful misconduct or proven negligence.

56. Force Majeure

TicketsAlive will not be liable for failure or delay in performing its Platform obligations where caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, industrial disputes, government action, sanctions, telecommunications failure, power outage, cyber incidents, internet failure, payment processor failure or third-party infrastructure failure.

Event cancellation or disruption caused by such circumstances remains subject to applicable law, the Organiser’s policy and the Organiser’s obligations.

57. No Agency, Partnership or Employment

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary or agency relationship between TicketsAlive and any Organiser, venue partner, affiliate, promotional partner or Customer, unless expressly agreed in writing.

No Organiser, partner or Customer may make representations, warranties or commitments on behalf of TicketsAlive without written authority.

58. Suspension, Removal and Emergency Controls

TicketsAlive may remove content, suspend access, cancel suspicious transactions, pause ticket sales, restrict features, delay payouts or terminate accounts where reasonably necessary to protect the Platform, customers, organisers, payment processors, third parties, the public or TicketsAlive.

This may include action taken for suspected fraud, security risk, legal risk, customer safety risk, payment risk, data misuse, rights infringement, misleading conduct, abusive behaviour or breach of these Terms.

59. Dispute Resolution

A party raising a dispute should first contact the other party and provide reasonable details of the issue. The parties should use reasonable efforts to resolve the dispute in good faith before commencing legal proceedings, except where urgent injunctive relief, debt recovery, fraud, safety concerns or legal compliance requires immediate action.

60. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia.

Subject to any rights that cannot be excluded under applicable consumer law, the parties submit to the jurisdiction of the courts of Victoria and the Commonwealth courts having jurisdiction in Victoria.

61. International Use

TicketsAlive may support events, customers, organisers or partners in multiple jurisdictions. Users and Organisers outside Australia are responsible for complying with local laws that apply to their access, event, ticket sale, tax obligations, marketing, privacy and consumer obligations.

Where event-specific local terms are displayed or required by law, those terms may apply in addition to these Terms.

62. Severability

If any part of these Terms is invalid, unlawful or unenforceable, that part will be read down to the extent necessary or severed if it cannot be read down. The remaining parts will continue to apply.

63. No Waiver

A failure or delay by TicketsAlive to exercise a right or remedy does not constitute a waiver of that right or remedy. A waiver must be express and in writing.

64. Entire Terms

These Terms, together with the Privacy Policy, event-specific terms, checkout terms, Organiser agreements and any applicable partner terms, form the agreement governing use of the Platform.

If there is a conflict between these Terms and a signed written agreement between TicketsAlive and an Organiser, the signed agreement prevails to the extent of the inconsistency for that Organiser.
