PART A - GENERAL TERMS APPLYING TO ALL USERS

1. Acceptance of Terms

These Terms and Conditions (Terms) govern access to and use of the TicketsAlive website, mobile application, organiser dashboard, booking engine, ticketing tools, payment facilitation services, communications tools and related services (collectively, the Platform).

The Platform is operated by PA Theatre Entertainment Pty Ltd trading as TicketsAlive (TicketsAlive, we, us or our).

By accessing the Platform, creating an account, listing an event, purchasing a ticket, receiving a ticket, using a ticket or otherwise using the services, you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

2. Definitions

In these Terms, unless the context requires otherwise:

  • Customer means a person who browses events, purchases tickets, receives tickets, holds tickets, attends an event or otherwise uses the Platform as a ticket buyer or attendee.

  • Organiser means any event organiser, producer, promoter, host, presenter, venue operator, venue partner, affiliate, marketing partner or other party that lists, promotes, manages or sells tickets for an event through the Platform.

  • Event means any live, online, hybrid, cultural, entertainment, theatre, film, concert, festival, sporting, educational, community, private or other event listed on the Platform.

  • Ticket means any electronic ticket, physical ticket, QR code, barcode, booking confirmation, registration confirmation or other right of entry or access issued through the Platform.

  • Booking Fees means any service fee, convenience fee, payment processing fee, card surcharge, delivery fee, technology fee or other fee disclosed during checkout.

  • Ticket Price means the price payable for admission to an event, before or after applicable fees and taxes as displayed during checkout.

  • Net Ticket Proceeds means ticket sale revenue after deduction of applicable fees, taxes, refunds, chargebacks, payment processing costs, reserves and other amounts payable under these Terms or any separate agreement.

3. TicketsAlive is a Ticketing Technology Platform Only

TicketsAlive provides technology, ticketing, booking, payment facilitation, event listing, reporting and related platform services.

Unless expressly stated otherwise in writing for a specific event, TicketsAlive is not the organiser, promoter, producer, performer, artist manager, venue operator, event owner or supplier of the event.

TicketsAlive does not plan, produce, control, operate, supervise, manage or deliver events. Responsibility for the event rests with the Organiser.

The listing of an event or sale of tickets on the Platform does not constitute endorsement, sponsorship, approval, partnership or guarantee by TicketsAlive of the event, Organiser, venue, performers, event content or event quality.

4. Electronic Communications

By using the Platform, you consent to receive communications from TicketsAlive electronically. These communications may include agreements, notices, disclosures, receipts, booking confirmations, tickets, event updates, refund updates, account notices, security notices and service communications.

You agree that electronic communications satisfy any requirement that communications be provided in writing, unless applicable law requires another form of communication.

5. Eligibility and Account Use

You must be at least 18 years old to create an organiser account, list an event, participate in a partner program or enter into a commercial relationship with TicketsAlive.

Customers under 18 may use the Platform only with the consent and supervision of a parent or guardian, unless a higher age requirement applies to a specific event.

You must provide accurate, complete and current information when creating an account, purchasing tickets or listing an event.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs through your account. You must notify TicketsAlive promptly if you suspect unauthorised access or misuse.

6. Platform Use and Restrictions

You may use the Platform only for lawful purposes and in accordance with these Terms.

You must not:

  • use the Platform for fraudulent, misleading, illegal or unauthorised purposes;

  • use bots, scraping tools, automated purchasing tools or other automated access methods without written permission;

  • interfere with Platform security, ticket inventory, payment systems or booking flows;

  • copy, modify, reverse engineer, distribute or commercially exploit the Platform or its content except as expressly permitted;

  • upload unlawful, misleading, defamatory, offensive, infringing, discriminatory, hateful or harmful content;

  • create false accounts, false events, fake transactions or artificial referrals;

  • misuse promotional codes, referral links, affiliate links or customer data;

  • attempt to circumvent ticket limits, fraud controls, access controls or payment controls.

7. Platform Availability and Changes

TicketsAlive will use reasonable commercial efforts to keep the Platform available and secure. However, TicketsAlive does not guarantee that the Platform will be uninterrupted, error-free or continuously available.

TicketsAlive may modify, pause, suspend, discontinue or replace any Platform feature, service or content at any time for operational, security, commercial, compliance or technical reasons.

The Platform may be unavailable due to maintenance, high demand, internet failure, cloud infrastructure issues, payment processor failure, telecommunications failure, cyber incidents or other circumstances outside TicketsAlive’s reasonable control.

8. Third-Party Services and Links

The Platform may use or link to third-party services, including payment gateways, card networks, banking providers, cloud providers, email and SMS providers, analytics providers, fraud prevention tools, map providers, social media platforms and third-party websites.

TicketsAlive does not control third-party services and is not responsible for third-party content, availability, security, acts, omissions, policies or terms.

Use of third-party services may be subject to separate third-party terms and privacy policies.

9. Intellectual Property

TicketsAlive owns or licenses the Platform, software, brand, website content, app content, designs, processes, reports, dashboards, logos, trade names and related intellectual property.

You must not copy, reproduce, publish, distribute, modify, adapt, decompile, scrape, reverse engineer, sell or commercially exploit TicketsAlive intellectual property without prior written permission.

Organisers retain ownership of event content they provide but grant TicketsAlive the rights set out in the Organiser Terms.

10. Changes to These Terms

TicketsAlive may update these Terms from time to time for legal, operational, technical or commercial reasons.

The latest version will be published on the Platform. Continued use of the Platform after updated Terms are published constitutes acceptance of the updated Terms, unless applicable law requires additional notice or consent.

PART C - ORGANISER, EVENT HOST AND VENUE PARTNER TERMS

27. Organiser Eligibility and Authority

To list an event, use organiser tools, participate in a venue or partner program or sell tickets through TicketsAlive, you must be at least 18 years old and have legal authority to act for the event and any entity you represent.

You warrant that you have authority to organise, promote, list and sell tickets for the event and to bind the relevant business, company, trust, association, venue, producer or promoter to these Terms and any separate agreement with TicketsAlive.

28. Right to Use Organiser Services

Subject to approval, TicketsAlive grants Organisers a limited, revocable, non-exclusive right to use the Platform to list events, promote events, manage ticket inventory, track sales, access reporting, communicate with attendees and sell tickets.

This right is limited to bona fide events and must not be used for unlawful activity, false events, fraudulent listings, misleading promotions, unauthorised ticket resale or any activity that may harm TicketsAlive, customers, venues, payment processors or the public.

29. Organiser Responsibility for Events

The Organiser is solely responsible for planning, promoting, producing, managing and delivering the event.

Organiser responsibilities include:

  • event concept, content, performers, presenters, artists, suppliers and contractors;

  • venue booking, seating layouts, door times, staffing, event operations and crowd management;

  • permits, licences, approvals, classifications, age restrictions and venue requirements;

  • public liability insurance, workers compensation and other insurance required by law, contract or prudent commercial practice;

  • health, safety, security, accessibility and emergency management;

  • accurate event information, promotional material, images, videos, descriptions and content warnings;

  • refund policy, cancellation policy, customer communications and event-specific terms;

  • taxes, GST, entertainment taxes, duties, levies and any other amounts payable in connection with the event;

  • compliance with all applicable laws, venue rules, platform rules, payment processor rules and third-party agreements.

30. Event Listings and Content Standards

All event listings must be accurate, lawful, current and not misleading.

The Organiser must ensure that all event descriptions, images, logos, trademarks, performer names, videos, seating maps, venue details, event warnings, ticket categories, pricing and promotional claims are correct and authorised.

TicketsAlive may remove, edit, suspend, reject or require changes to any listing where it reasonably considers that the listing is inaccurate, unlawful, misleading, offensive, infringing, high-risk, inconsistent with brand standards or likely to create customer, legal, reputational, payment or operational risk.

31. Event Content and Intellectual Property Licence

The Organiser retains ownership of event content it provides to TicketsAlive.

The Organiser grants TicketsAlive a worldwide, non-exclusive, royalty-free, transferable and sublicensable licence to use, reproduce, display, distribute, adapt and communicate event content for the purpose of operating the Platform, promoting the event, processing ticket sales, supporting customers, providing reports and fulfilling the services.

The Organiser warrants that it owns or has obtained all rights, licences, consents and permissions required for all content supplied to TicketsAlive, including images, logos, music, videos, artist names, trademarks and promotional material.

32. Ticket Inventory, Pricing and Availability

The Organiser is responsible for setting or approving ticket prices, ticket categories, inventory limits, seating maps, capacity, concessions, complimentary tickets, access holds, promotional codes and availability.

The Organiser must not list more tickets than authorised by the venue or permitted by law. The Organiser must promptly update TicketsAlive where capacity, availability, seating layouts or event details change.

TicketsAlive may apply booking flows, ticket locks, fraud controls, queueing, payment controls or inventory controls to protect customers, organisers and the Platform.

33. Fees, Taxes and Commercial Terms

TicketsAlive may charge service fees, booking fees, platform fees, payment processing fees, commission, access fees, subscription fees or other charges as disclosed in the Platform, checkout flow, organiser dashboard, invoice or separate written agreement.

The Organiser is responsible for determining, collecting, reporting and remitting all taxes, GST, entertainment taxes, duties, levies and government charges associated with the event, unless TicketsAlive is legally required to do so.

TicketsAlive does not provide tax, legal or financial advice. Organisers should obtain their own professional advice.

34. Payments, Payouts and Reserves

TicketsAlive may facilitate payments through third-party payment processors. Payment processing, verification, payout timing, reserves, holds, disputes and fraud controls may be subject to processor requirements.

TicketsAlive may deduct from ticket proceeds any applicable TicketsAlive fees, payment processing fees, taxes, refunds, chargebacks, dispute fees, penalties, negative balances, customer claims, reserves or other amounts payable under these Terms or any separate agreement.

TicketsAlive may withhold, delay or suspend payouts where reasonably required to manage refund exposure, event cancellation risk, chargeback risk, fraud risk, customer disputes, sanctions, legal compliance, processor requirements or suspected breach of these Terms.

The Organiser authorises TicketsAlive to set off amounts owed by the Organiser against current or future ticket proceeds, payouts, commissions or other monies payable to the Organiser.

35. Refund Policy Disclosure

The Organiser must clearly communicate the event refund, cancellation, exchange and rescheduling policy to TicketsAlive and customers before ticket sales commence.

The refund policy must not mislead customers or attempt to exclude rights that cannot lawfully be excluded.

The Organiser is responsible for all customer communications and financial obligations relating to refunds, exchanges, cancellations, postponements, rescheduling and material event changes, subject to applicable law.

36. Event Cancellation, Postponement and Rescheduling

If an event is cancelled, postponed, rescheduled, relocated or materially changed, the Organiser must promptly notify TicketsAlive and affected customers and provide clear instructions about refunds, exchanges, credits, new dates or other remedies.

If a refund is required by law or authorised by the Organiser, TicketsAlive may process the refund on behalf of the Organiser and deduct the refund amount and related costs from current or future payouts.

Where insufficient funds are held by TicketsAlive, the Organiser must provide the funds required to process refunds within the timeframe requested by TicketsAlive.

TicketsAlive is not required to fund Organiser refunds from its own funds except to the extent required by law or expressly agreed in writing.

37. Chargebacks, Disputes, Fraud and Negative Balances

The Organiser is financially responsible for chargebacks, payment disputes, fraud losses, refund shortfalls, processor fees, card network penalties and customer claims arising from the event, event cancellation, event non-delivery, inaccurate listing information, customer dissatisfaction attributable to the event or Organiser breach of these Terms.

TicketsAlive may investigate suspicious activity, impose payout reserves, suspend ticket sales, pause listings, restrict account access or terminate Organiser access where needed to protect customers, payment processors, the Platform or TicketsAlive.

38. Insurance and Assumption of Event Risk

The Organiser assumes all risk associated with the event, including operational, safety, security, crowd, venue, weather, performer, supplier, legal, customer, financial and reputational risk.

TicketsAlive does not provide insurance cover for events. The Organiser must hold appropriate insurance, including public liability insurance and any other insurance required by law, venue contract or prudent commercial practice.

39. Prohibited Events and Restricted Activities

TicketsAlive may refuse, remove or suspend events that involve illegal activity, fraud, violence, hate, exploitation, harassment, dangerous activity, unlawful gambling, controlled substances, prohibited goods, misleading claims, unauthorised fundraising, intellectual property infringement or any activity restricted by law, venue rules or payment processors.

TicketsAlive may also refuse events or organisers that create unacceptable legal, reputational, payment, customer safety, operational or compliance risk.

40. Customer Support and Organiser Communications

The Organiser is responsible for responding to customer questions relating to the event, including event content, performers, venue access, seating, accessibility, timing, refunds, cancellations, event changes and complaints about the event experience.

TicketsAlive may provide customer support for booking and ticketing issues, but doing so does not make TicketsAlive responsible for the event or the Organiser’s obligations.

41. Messaging Tools, Email and Push Notifications

Where TicketsAlive provides messaging, email, SMS, push notification or attendee communication tools, the Organiser must use them only for bona fide event-related communications or other permitted purposes.

The Organiser warrants that it has the right and authority to contact recipients and that all recipient information was collected and used in accordance with applicable privacy, spam, marketing and electronic communications laws.

The Organiser must not send false, misleading, deceptive, spam, unlawful or unrelated promotional messages, and must honour unsubscribe, opt-out and communication preference requests promptly.

TicketsAlive may limit, suspend or terminate messaging access if the Organiser’s use causes high complaint rates, bounce rates, unsubscribe rates, push-disablement rates, legal risk or disruption to the Platform.

42. Organiser Data Responsibilities

The Organiser may receive attendee information to operate the event. Once attendee information is made available to the Organiser, the Organiser is responsible for handling that information lawfully and securely.

The Organiser must not sell, misuse, disclose or use attendee data for unrelated purposes without proper legal basis, consent or authority.

The Organiser must comply with applicable privacy laws and must notify TicketsAlive promptly of any actual or suspected data breach involving attendee information received through the Platform.

43. Organiser Account Suspension and Termination

TicketsAlive may suspend or terminate an Organiser account, event listing, ticket sales, payout, dashboard access or communication tools where TicketsAlive reasonably considers it necessary to protect customers, comply with law, comply with payment processor requirements, prevent fraud, manage refund or chargeback exposure, address reputational risk or respond to a breach of these Terms.

Termination or suspension does not relieve the Organiser of obligations relating to refunds, chargebacks, customer claims, taxes, fees, indemnities, confidentiality, data protection or amounts owed to TicketsAlive.

44. Venue Partners, Affiliates and Promotional Partners

Where TicketsAlive approves a venue partner, affiliate, promotional partner, referral partner or similar participant, that participant must comply with these Terms and any additional written partner terms issued by TicketsAlive.

Commissions, revenue shares, referral rewards or partner payouts are payable only where approved by TicketsAlive and may be adjusted for refunds, chargebacks, cancellations, fraud, disputed transactions, tracking errors, policy breaches, minimum thresholds and taxes.

Partners must promote TicketsAlive honestly and professionally, must not make unauthorised representations, must not misuse TicketsAlive branding and must comply with advertising, privacy, spam and platform rules.

TicketsAlive may approve, reject, suspend, downgrade, upgrade or terminate partner participation at its discretion where commercially or legally appropriate.

45. Organiser Indemnity

The Organiser indemnifies TicketsAlive, its related entities, directors, officers, employees, contractors and representatives against any claim, demand, loss, liability, damage, penalty, fine, cost or expense, including reasonable legal costs, arising from or connected with:

  • the event, event content, event delivery, event cancellation, event postponement, event rescheduling or event non-delivery;

  • personal injury, death, property damage or security incidents associated with the event;

  • acts or omissions of the Organiser, venue, performers, contractors, suppliers, staff or agents;

  • inaccurate, misleading, unlawful or infringing event information or promotional material;

  • failure to obtain permits, licences, approvals, insurance or rights;

  • breach of law, venue rules, payment processor rules or these Terms;

  • refund claims, chargebacks, dispute fees, fraud losses and customer claims attributable to the event;

  • misuse of attendee data, messaging tools, TicketsAlive intellectual property or Platform access.

The Organiser’s indemnity will be reduced to the extent the relevant loss was directly caused by TicketsAlive’s fraud, wilful misconduct or proven negligence.

PART E - LEGAL PROTECTIONS AND GENERAL CLAUSES

54. Limitation of TicketsAlive Liability

Nothing in these Terms excludes, restricts or modifies any consumer guarantee, statutory right or remedy that cannot lawfully be excluded, restricted or modified.

Subject to the above and to the maximum extent permitted by law, TicketsAlive’s liability is limited to its role in providing ticketing technology, booking and Platform services.

TicketsAlive is not liable for loss, damage, injury, death, expense, inconvenience, disappointment, business loss, travel cost, accommodation cost, lost profit, reputational damage or indirect or consequential loss arising from or connected with:

  • the planning, production, management, quality, safety, legality, content or delivery of an event;

  • acts or omissions of an Organiser, venue, performer, contractor, supplier, security provider or other third party;

  • event cancellation, postponement, rescheduling, relocation or material change;

  • refusal of entry by the Organiser or venue;

  • loss, theft or damage to personal property at an event;

  • third-party service failures outside TicketsAlive’s reasonable control;

  • payment processor decisions, bank delays or card network processes outside TicketsAlive’s reasonable control.

Where TicketsAlive’s liability can lawfully be limited, it is limited to the resupply of the relevant Platform service or the amount of Booking Fees paid directly to TicketsAlive for the relevant transaction, whichever is permitted by applicable law.

55. Customer Indemnity

To the maximum extent permitted by law, the Customer indemnifies TicketsAlive against claims, losses, liabilities and reasonable costs arising from the Customer’s fraud, unlawful use of the Platform, unauthorised ticket resale, ticket misuse, breach of these Terms, infringement of third-party rights or misuse of TicketsAlive intellectual property.

This indemnity does not apply to the extent the relevant loss was directly caused by TicketsAlive’s fraud, wilful misconduct or proven negligence.

56. Force Majeure

TicketsAlive will not be liable for failure or delay in performing its Platform obligations where caused by events beyond its reasonable control, including natural disasters, severe weather, fire, flood, epidemic, pandemic, war, terrorism, civil unrest, industrial disputes, government action, sanctions, telecommunications failure, power outage, cyber incidents, internet failure, payment processor failure or third-party infrastructure failure.

Event cancellation or disruption caused by such circumstances remains subject to applicable law, the Organiser’s policy and the Organiser’s obligations.

57. No Agency, Partnership or Employment

Nothing in these Terms creates a partnership, joint venture, employment, fiduciary or agency relationship between TicketsAlive and any Organiser, venue partner, affiliate, promotional partner or Customer, unless expressly agreed in writing.

No Organiser, partner or Customer may make representations, warranties or commitments on behalf of TicketsAlive without written authority.

58. Suspension, Removal and Emergency Controls

TicketsAlive may remove content, suspend access, cancel suspicious transactions, pause ticket sales, restrict features, delay payouts or terminate accounts where reasonably necessary to protect the Platform, customers, organisers, payment processors, third parties, the public or TicketsAlive.

This may include action taken for suspected fraud, security risk, legal risk, customer safety risk, payment risk, data misuse, rights infringement, misleading conduct, abusive behaviour or breach of these Terms.

59. Dispute Resolution

A party raising a dispute should first contact the other party and provide reasonable details of the issue. The parties should use reasonable efforts to resolve the dispute in good faith before commencing legal proceedings, except where urgent injunctive relief, debt recovery, fraud, safety concerns or legal compliance requires immediate action.

60. Governing Law and Jurisdiction

These Terms are governed by the laws of Victoria, Australia.

Subject to any rights that cannot be excluded under applicable consumer law, the parties submit to the jurisdiction of the courts of Victoria and the Commonwealth courts having jurisdiction in Victoria.

61. International Use

TicketsAlive may support events, customers, organisers or partners in multiple jurisdictions. Users and Organisers outside Australia are responsible for complying with local laws that apply to their access, event, ticket sale, tax obligations, marketing, privacy and consumer obligations.

Where event-specific local terms are displayed or required by law, those terms may apply in addition to these Terms.

62. Severability

If any part of these Terms is invalid, unlawful or unenforceable, that part will be read down to the extent necessary or severed if it cannot be read down. The remaining parts will continue to apply.

63. No Waiver

A failure or delay by TicketsAlive to exercise a right or remedy does not constitute a waiver of that right or remedy. A waiver must be express and in writing.

64. Entire Terms

These Terms, together with the Privacy Policy, event-specific terms, checkout terms, Organiser agreements and any applicable partner terms, form the agreement governing use of the Platform.

If there is a conflict between these Terms and a signed written agreement between TicketsAlive and an Organiser, the signed agreement prevails to the extent of the inconsistency for that Organiser.
